Atgo Investment Limited, a company limited by shares incorporated in the Dubai International Financial Centre (“DIFC”), is licensed and regulated by the Dubai Financial Services Authority (“DFSA”) under DFSA license reference number F011232, to undertake the following financial services:

(a) “Managing a Collective Investment Fund” in respect of Qualified Investor Funds and Exempt Funds; and

(b) “Advising on Financial Products” in respect of Units, (each as defined in the DFSA Rulebook).

Atgo Investment Limited can only provide services to clients qualifying as “Professional Clients” or “Market Counterparties”, within the meaning of the DFSA Rulebook.

Atgo Fund Open-ended PCC Limited (“Fund”) is an open-ended protected cell company established under the regulations of the DIFC with registered number 11490 and classified as an Exempt Fund, a Passported Fund and an Umbrella Fund in accordance with the Collective Investment Law No. 2 of 2010 and Collective Investment Rules of the DFSA. The prospectus and any other associated documents in connection with the Fund are intended for only Professional Clients who can make a minimum subscription of US$50,000 and must not, therefore, be delivered to, or relied on by, a Retail Client or a Professional Client not able to make that minimum subscription.

The DFSA has no responsibility for reviewing or verifying any prospectus or other documents in connection with this Domestic Fund. Accordingly, the DFSA has not approved its prospectus or any other associated documents nor taken any steps to verify the information set out in its prospectus, and has no responsibility for it.

No other regulatory authority in the United Arab Emirates (“UAE”) has any responsibility for reviewing or verifying the prospectus or any other documents in connection with the promotion of the Fund. Accordingly, no regulatory authority in the UAE has approved the prospectus or any other associated documents, nor taken any steps to verify the information set out herein, and therefore no regulatory authority in the UAE has any responsibility for the same.

This passported fund is a private fund and, accordingly, the participating shares thereof may only be promoted to qualified investors in the ADGM and the UAE, by means of private placement. The participating shares of this Fund may be illiquid and/or subject to restrictions on their resale. Prospective purchasers of the participating shares offered should conduct their own due diligence on the participating shares and consult an authorised financial adviser.
